These Terms of Service ("Terms") govern your access to and use of ugcmarketplace.com and the UGCMarketplace platform ("UGCMarketplace", "we", "us"). By accessing or using the website or service, you agree to these Terms. If you do not agree, do not use the service.
Acceptance of terms
By creating an account, accessing the website, or using the service, you confirm that you have read, understood and agree to be bound by these Terms and our Privacy Policy. If you use the service on behalf of a brand, agency or company, you represent that you have authority to bind that organization to these Terms.
The service
UGCMarketplace is a software service that generates written UGC briefs and short-form video scripts using an AI model. You describe your product and the service returns a campaign brief, a video script with a hook, timed scenes and a call to action, the technical requirements for the footage, and a description of the type of creator you may want to recruit.
What the service does not do. We do not operate a creator directory or catalogue, we do not match, introduce, book or hire creators for you, we do not verify the identity, age or portfolio of any creator, we do not film, edit or supply video or photography, we do not review or approve anyone's deliverables, and we do not process, hold or facilitate any payment between you and a creator. You take the brief we generate and engage any creator entirely yourself, on your own terms and at your own risk. We are not a party to, and accept no responsibility for, any arrangement between you and any creator. We do not guarantee any particular sales, advertising or business outcome from a brief, a script, or any content you produce from them.
Eligibility and accounts
You must be at least 18 years old to use UGCMarketplace. You are responsible for the accuracy of the information you provide, for keeping your account credentials secure, and for the activity that occurs under your account. We may suspend or terminate accounts that provide false information or that we cannot reasonably verify.
Your briefs and what you may do with them
The briefs and scripts you generate are yours to use commercially, including to brief creators you hire yourself and to guide advertising you run. We claim no ownership of your product descriptions or of the output generated from them, and we do not resell your inputs. Output is produced by an AI model, may be similar to output generated for other users from similar inputs, and is provided without any warranty that it is original, accurate, or suitable for a particular purpose. You are responsible for reviewing output before you rely on it, and for the licensing and usage rights of any footage you separately commission from a creator, which is a matter between you and that creator.
Creator sign-ups
Creators may register their interest with us so that we can contact them about the product and about future opportunities. Registering is free and creates no obligation on either side. Registering is not an application for work, and we do not vet, verify, rank, represent, or place creators, and we do not offer, promise or provide paid bookings. We may contact registered creators by e-mail, and they may unsubscribe at any time.
FTC and advertising disclosure
You are responsible for complying with the Federal Trade Commission's advertising and endorsement guidelines and all other applicable advertising, consumer-protection and disclosure laws in the jurisdictions where you run any content you produce from a brief, including making any disclosures required when content is used as a paid advertisement or when a creator you engaged posts it to their own channels.
Prohibited use
You agree not to use the service to: generate or produce unlawful, deceptive, infringing, hateful, or sexually exploitative content; misrepresent yourself or your identity; collect or use information without required consent; resell or redistribute the service itself, or use it to build a competing product; automate or scrape the service beyond your plan's limits; attempt to gain unauthorized access to the service or its systems; or interfere with the integrity or performance of the service. We may suspend or terminate accounts that violate these Terms or applicable law.
No minors
UGCMarketplace is strictly for adults. No one under 18 may use the service. We do not permit the service to be used to generate content that exploits or endangers minors. Accounts found to violate this will be removed.
Fees and payment
The service has a free tier: your first brief needs no account, and a free account generates a limited number of briefs each month with a watermark on downloads. Paid plans remove the watermark and the monthly cap. Fees are billed in US dollars on a recurring subscription basis through our payment processor, and we never receive or store your card details. Plan details, billing cycles and prices are described at the time of purchase and on our pricing page. Unless stated otherwise, fees are non-refundable except as required by law. You may cancel at any time, and your plan remains active until the end of the period already paid for. We may change pricing on a going-forward basis with reasonable notice.
Disclaimers
The service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Output is generated by an AI model and may contain errors or unsuitable suggestions; you must review it before relying on it. We do not warrant that the service will be uninterrupted or error-free, or that any brief or script will produce a particular sales, advertising, or business result.
Limitation of liability
To the maximum extent permitted by law, UGCMarketplace and its suppliers will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill, arising out of or related to your use of the service, your reliance on generated output, or the conduct of any creator you engage. Our total liability for any claim relating to the service will not exceed the amount you paid to us for the service in the twelve months before the event giving rise to the claim.
Indemnification
You agree to indemnify and hold harmless UGCMarketplace from any claims, damages or expenses arising out of your use of the service, the content you generate or produce, your engagement of any creator, or your breach of these Terms or applicable law.
Termination
You may stop using the service at any time. We may suspend or terminate access if you breach these Terms or use the service unlawfully. On termination, your right to use the service ends, and you may export or download your saved briefs before your account is closed, subject to reasonable notice.
Governing law
These Terms are governed by the laws of the jurisdiction in which UGCMarketplace operates, without regard to conflict-of-law principles. The specific governing jurisdiction is set out at the time of purchase or by written agreement.
Changes to these terms
These Terms, together with our Privacy Policy, are the entire agreement between you and UGCMarketplace regarding the service. We may update these Terms from time to time. When we make material changes, we will update the date above and, where appropriate, notify you. Your continued use of the service after an update means you accept the revised Terms.
